These Terms of Service ("Terms") govern your access to and use of the website strandeddeep2.com and any associated services, features, and content (collectively, the "Services") related to Stranded Deep 2 (the "Game"). This Agreement is between you and North Beach Games, LLC, ("the Company," "we," "us," and "our"), a California limited liability company.

If you are under the age of thirteen (13), you may not use the Services. If you are over the age of thirteen (13) (or other applicable minimum age in your place of residence) but under the age of eighteen (or other applicable age of majority in your place of residence), you must obtain consent from your parent or guardian before using the Services.

By accessing or using the Services, you are deemed to have agreed to these Terms. If you do not agree to these Terms, you may not use the Services. If you are underage and do not have the consent of your parent or legal guardian, you may not use the Services.

Please review our Privacy Policy at https://www.strandeddeep2.com/privacy-policy, which also governs your use of the Services and covers our use of cookies and similar technologies, to understand our practices.

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

"Company" (referred to as "the Company," "we," "us," or "our") refers to North Beach Games, LLC. "Game" means Stranded Deep 2, the software program and services developed and published by the Company. "Services" means the website strandeddeep2.com, related social channels, the Discord server, email communications, and, upon release, the Game itself.

Subject to full compliance with this Agreement, the Company may offer products, services, and websites accessed through internet-capable devices, including the Stranded Deep 2 website, Discord server, and, upon release, the Game. The Company may change, suspend, or discontinue any part of the Services, including the availability of any feature or content, at any time, including immediately if you breach this Agreement or any policy governing the Services. The Company may also impose limits on features or restrict your access without notice.

All material on the Services, including but not limited to text, data, graphics, logos, images, audio, video, links, and software, is owned, controlled by, licensed to, or used with permission by the Company and is protected by copyright, trademark, and other intellectual property rights, including "Stranded Deep," the Stranded Deep 2 name and logo, and associated character and item designs (including the BEEPI watch and the kayak). Material is made available solely for your personal, non-commercial use and may not be copied, reproduced, republished, modified, uploaded, posted, transmitted, or distributed without the Company's express prior written consent. You may download material intentionally made available for downloading for personal, non-commercial use only, provided you retain all copyright and proprietary notices.

We do not guarantee that the Services will be available at all times, in all locations, or for any given length of time, or that the Services can be accessed on all devices or in all geographic locations. The Company may update, change, or modify the Services without notice.

If the Services allow you to create, upload, or share content, including through the Cartographer/Map Editor tool, you are responsible for your UGC. You may not upload UGC that infringes a third party's intellectual property rights or violates the law, this Agreement, or a third party's right of privacy or publicity.

The Company may remove, edit, or disable UGC at its sole discretion, including if it reasonably determines the UGC violates this Agreement. The Company does not pre-screen all UGC and does not endorse or approve any UGC available through the Services.

When you contribute UGC, you grant the Company a non-exclusive, perpetual, transferable, worldwide, sublicensable license to use, host, store, reproduce, modify, create derivative works from, publicly display, and otherwise transmit the UGC in any medium, without notice, payment, or attribution. You also grant other users the right to use, copy, modify, display, and otherwise interact with your UGC through the Services.

When you access or use the Services, you agree that you will not:

• Violate any law, rule, or regulation.
• Interfere with or disrupt the Services or any server or network used to support them, including hacking.
• Use any software or program that damages, interferes with, or disrupts the Services or another's computer or property, such as denial-of-service attacks, spamming, or uploading malicious code.
• Interfere with another user's use of the Services, including through harassment, hate speech, spamming, or abusive language.
• Harass, threaten, bully, or make personal attacks against another user.
• Contribute UGC or organize activity that is abusive, harassing, profane, threatening, hateful, offensive, obscene, sexually explicit, defamatory, infringing, or otherwise objectionable.
• Publish or distribute content you don't have permission to freely distribute.
• Impersonate another person or falsely imply you are a Company employee or representative.
• Attempt to obtain or phish for a password, account information, or other private information from anyone else.
• Use any robot, spider, or automated process to access the website or copy material from it.
• Use or distribute unauthorized software, cheats, exploits, or hacking tools once the Game is released.
• Sell, buy, trade, or otherwise transfer your Game account or associated content, except as expressly authorized by the Company.

The Company takes the safety and well-being of its community seriously. If you violate these rules, the Company may take action against your access to the Services, up to and including a permanent ban, depending on the severity of the violation and at the Company's sole discretion.

If you encounter a user violating these rules, please report it via the relevant "Report" function, if available, or contact support@northbeachgames.com.

The Company may monitor or record activity on the Services and may remove content at its sole discretion. Remember that your communications and UGC on the Services are public and will be seen by others.

For the purpose of analyzing and improving the Services, the Company may collect information relating to your use of the website and, upon release, the Game, including hardware, software, and error log information, without obtaining individual consent for each instance, as described further in our Privacy Policy.

Between you and the Company, the Company retains all rights in connection with the Services and any related data, including all intellectual property rights. You are only granted the right to access and use the Services to the limited extent permitted by these Terms.

PLEASE READ CAREFULLY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR LOST DATA) CAUSED OR ALLEGED TO BE CAUSED BY THE SERVICES OR ANY INFORMATION, MATERIALS, OR CONTENT PROVIDED IN CONNECTION WITH THEM, AND YOU WILL INDEMNIFY AND HOLD COMPANY HARMLESS FROM SAME. THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AS TO ANY MATTER WHATSOEVER.

The Company does not warrant against errors on the website, that the website is a virus-free environment, or that you will experience uninterrupted or error-free use of the Services.

This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of California, excluding its conflict of law rules and principles. The California state courts located in San Francisco and the U.S. District Court for the Central District of California shall have exclusive jurisdiction to determine the validity, construction, and performance of this Agreement, and venue in such courts shall be proper. You irrevocably submit to the jurisdiction of such courts in any action arising out of or relating to this Agreement.

The UN Convention on Contracts for the International Sale of Goods (Vienna, 1980) shall not apply to this Agreement.

You agree to follow U.S. and other applicable export control laws and agree not to access or use the Services in violation of such laws. You acknowledge that you are not a person with whom the Company is prohibited from doing business under applicable export control laws.

The Company reserves the right to amend these Terms at any time, in its sole discretion, without prior notice. Updated Terms will be posted here, and continued use of the Services after posting constitutes acceptance of the amended Terms.

If any provision of this Agreement is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full effect.

This Agreement, together with the Privacy Policy and Cookie Policy referenced herein, constitutes the entire agreement between the parties relating to the subject matter and supersedes all prior negotiations, commitments, and understandings.
